Scope of application

1.1 These GTCs apply to all deliveries and services between us, Chillaz International GmbH, and our customers, which take place via our B2B store (b2b.chillaz.com).

1.2 These General Terms and Conditions (GTC) apply to all business relationships with our customers. The GTC apply only if the customer is an entrepreneur or a legal entity under public law (natural person or legal entity or partnership with legal capacity that acts in the exercise of its commercial or independent professional activity when concluding the contract).

1.3 Deviating conditions of the customer shall only apply if we have expressly agreed to them in writing.

Contractors

2.1 The contract is concluded with Chillaz International GmbH, represented by Ulf Kattnig. 

2.2 Our offers in the B2B store for textiles and accessories are subject to change and non-binding.

Offer and conclusion of contract

3.1 The presentation of the products in the B2B store for textiles and accessories does not constitute a legally binding offer, but a non-binding invitation to order.

3.2 By sending the order, the customer makes a binding offer to conclude a purchase contract.

3.3 The purchase contract is concluded when we accept the customer's order within two working days by sending an order confirmation by e-mail.

Right of revocation, revocation instruction, revocation consequences

4.1 There is no right of withdrawal for entrepreneurs in the sense of § 5e KSchG.

4.2 The right of withdrawal for consumers within the meaning of § 11 FAGG is excluded.

4.3 The cancellation policy and the consequences of cancellation are not applicable.

Prices and shipping costs

5.1 All prices in the B2B store for textiles and accessories are exclusive of VAT.

5.2 Only the prices stated on the order confirmation are binding for Chillaz International GmbH.

5.3 Shipping costs are based on the size, weight and number of items ordered or as agreed! To be taken from the order confirmation!

Delivery

6.1 Unless otherwise specified in the special or separate terms and conditions, the delivery of the goods at the expense of the customer. The stated delivery times in the order confirmation, is for information purposes!

6.2 The delivery time is usually 3-5 business days. For individual orders, the delivery time may be longer.

Payment

7.1 Unless otherwise specified in the special or separate terms and conditions, the B2B Customer shall pay within 10 days without deduction after receipt of the invoice.

7.2 In the event of default on the part of the customer, we shall be entitled to demand interest on arrears at a rate of 5% above the prime rate.

Retention of title

8.1 We retain ownership of the delivered goods until full payment. The customer undertakes not to pledge the products to his creditors until full payment.

Warranty

9.1 The customer shall immediately inspect the delivered goods for defects and notify us of any defects without delay.

9.2 We are liable for defects of the goods within the statutory warranty period.

Privacy

11.1 We process personal data of the B2B customer within the framework of the legal provisions.

11.2 Personal data will only be passed on to third parties if this is necessary for the execution of the contract.
